Using XKey
Terms of Service
These terms govern use of the XKey website, PowerPoint add-in, accounts, licenses, team features, support, and paid plans.
Effective date:
1. Acceptance and scope
Infiniti is the name under which an individual based in Japan operates XKey. These Terms of Service (“Terms”) form an agreement between Infiniti (“we,” “us,” or the “Operator”) and the person or organization using the Service (“you”). By creating an account, purchasing a plan, downloading, installing, or using XKey, you agree to these Terms and the Privacy Policy.
If you use the Service for an organization, you represent that you have authority to bind it. Any plan description, order, or additional terms presented at purchase forms part of these Terms and controls for that purchase if it expressly differs from them.
2. Eligibility
You must be legally capable of entering this agreement. A minor may use the Service only with the consent and supervision required by applicable law. You may not use the Service where doing so is prohibited by law.
3. Accounts and teams
Registration information must be accurate and current. You are responsible for safeguarding credentials, devices, and recovery methods and for activity under your account unless caused by our intentional misconduct or gross negligence. Notify us promptly of suspected unauthorized use.
A team owner or administrator is responsible for invitations, seat assignments, member removal, and authority to purchase for the organization. Members may lose access when removed or when the team plan ends. Accounts, seats, licenses, and credentials may not be sold, shared beyond the purchased scope, or transferred without our prior written consent.
4. Software license and permitted use
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to install and use XKey on supported devices within the device, user, and seat limits of your plan for personal or internal business purposes.
The Service is licensed, not sold. No ownership in XKey, its source code, design, documentation, trademarks, or other intellectual property is transferred to you. Rights not expressly granted are reserved.
5. Payments and subscriptions
Prices, billing periods, included seats or devices, and taxes are shown before purchase. Payments are processed by Stripe. You authorize recurring charges for a subscription until it is cancelled. Subscriptions renew for the same period unless cancelled before renewal.
You are responsible for applicable taxes and accurate billing information. If payment fails, we may retry collection and suspend or limit paid features. We may change future pricing by giving notice before the next affected renewal, allowing you to cancel before the new price applies.
6. Trials, cancellation, and refunds
A trial is provided so you can evaluate XKey, including compatibility with your PowerPoint, Windows, network, and security environment, before purchase. Trial length and eligibility may be limited or changed to prevent abuse.
You may cancel a subscription through the available account or billing controls. Cancellation stops future renewal and access continues through the paid period unless law, the purchase terms, or a stated remedy requires otherwise. Fees already paid are non-refundable and are not prorated except where required by law or expressly offered by us. This does not limit remedies for defects or rights that cannot lawfully be excluded.
7. Updates, compatibility, and availability
We may update, add, restrict, or discontinue features and may require updates for security, compatibility, or continued access. XKey depends on supported versions of Windows, Microsoft PowerPoint, WebView2, networks, and third-party services, which may change independently.
We do not promise uninterrupted or error-free operation. We may suspend the Service for maintenance, security, legal compliance, provider outages, or circumstances beyond reasonable control. Where reasonably practicable, we will give notice of material adverse changes to paid features.
8. Data and privacy
Our Privacy Policy explains how account, license, billing, support and diagnostic information is handled. You retain your rights in presentations and other content. You are responsible for the legality, accuracy, permissions and backups of information you enter into XKey or submit to support. Do not submit secrets or third-party personal information unless you are authorized to do so.
Local settings, presentations, and other local data may be lost through device failure, removal, updates, or user action. Unless a feature expressly states otherwise, the Service is not a backup service and we have no obligation to reconstruct local data.
9. Third-party services
The Service uses Microsoft PowerPoint and WebView2 on the device, and Vercel, Supabase, Stripe, Resend, Sentry, GitHub and selected identity providers for the online functions described in our Privacy Policy. Their applicable terms, privacy policies, availability and charges apply independently. Their certifications do not certify XKey or create a customer SLA, residency commitment or data-processing agreement. Additional organizational requirements apply only when agreed in writing. These Terms do not exclude responsibility that applicable law places on us.
10. Prohibited conduct
You must not, and must not help another person to:
- Use the Service unlawfully, fraudulently, abusively, or to infringe another person’s rights.
- Circumvent authentication, licensing, device or seat limits, security controls, or payment requirements.
- Reverse engineer, decompile, scrape, copy, modify, redistribute, resell, or create derivative works except to the extent a restriction is prohibited by law.
- Introduce malware, probe vulnerabilities, overload infrastructure, disrupt other users, or gain unauthorized access to an account, device, data, or system.
- Use automated means to extract data or use XKey, its output, or documentation to build or train a competing product without prior written permission.
- Misrepresent affiliation with Infiniti or remove ownership, copyright, or attribution notices.
11. Intellectual property and feedback
XKey and all related software, text, graphics, branding, and documentation are owned by the Operator or applicable licensors and are protected by law. You retain rights in your own content.
If you voluntarily provide suggestions or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use it to operate and improve XKey without an obligation to compensate you, provided this does not transfer ownership of your underlying content.
12. Suspension and termination
We may suspend or terminate access where you materially breach these Terms, create security or legal risk, fail to pay, misuse a trial or license, or where continued provision is no longer reasonably possible. When appropriate, we may first request that you cure the issue.
You may stop using the Service at any time and may request account closure. Termination does not erase amounts already due. Provisions that by nature should survive—including ownership, payment, disclaimers, liability, indemnity, governing law, and language—remain effective.
13. Disclaimers
To the extent permitted by law, the Service is provided “as is” and “as available.” We do not warrant that it will meet every purpose, remain compatible with every environment, produce error-free presentation results, preserve all data, or be free from interruption or harmful components.
You must review XKey’s output and maintain appropriate backups before relying on it in production or important presentations. Nothing in these Terms excludes warranties or remedies that cannot be excluded under applicable consumer law.
14. Liability and indemnity
Where we are liable for ordinary negligence and applicable law permits a limit, liability is limited to direct and ordinary damages and will not exceed the greater of the fees you paid for the Service during the 12 months before the event or JPY 10,000. We are not liable for indirect, incidental, special, consequential, or lost-profit damages to the extent permitted by law.
These limits do not apply to intentional misconduct or gross negligence, death or personal injury where liability cannot be limited, or other rights and liabilities that mandatory law does not allow us to exclude or limit.
To the extent permitted by law, you will compensate us for direct losses and reasonable costs arising from your intentional or negligent material breach, unlawful use, or infringement of third-party rights. A business user will also defend and indemnify us against related third-party claims. This obligation does not apply to the extent the loss was caused by us.
16. Notices, assignment, and severability
We may give notices through the Service, the website, or the email address registered to your account. You are responsible for keeping that address current. You may not assign your account or rights under these Terms without our prior written consent. We may assign these Terms in connection with a transfer or reorganization of the Service.
If a provision is invalid or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions continue in effect. Failure to enforce a provision is not a waiver.
17. Changes to these Terms
We may change these Terms under Article 548-4 of the Civil Code of Japan where the change benefits users or is reasonable in light of the purpose of the agreement, necessity, substance, and surrounding circumstances. We will publish the revised Terms, the change, and the effective date before they take effect and provide additional notice where appropriate. If you do not agree, you must stop using the Service and cancel before the change applies.
18. Governing law, language, and contact
These Terms are governed by Japanese law. Subject to mandatory law, the Tokyo District Court or Tokyo Summary Court, depending on the claim, has exclusive jurisdiction as the court of first instance. Mandatory protections available in your place of residence remain unaffected. The English and Japanese versions are intended to have the same substantive effect. If they conflict, the Japanese version controls.
Questions about these Terms should be sent to support@infiniticlips.com. Legally required operator information will be provided to a verified requester without undue delay where applicable.
